Chapter 41 Constitution and By-Laws
QUARTER CENTURY WIRELESS ASSOCIATION DALLAS CHAPTER 41
CONSTITUTION
Article 1 Name and Objective
Section 1 -Name: The name of this organization shall be "Quarter Century
Wireless Association Dallas Chapter."
Section 2 -Objective: To foster and develop friendship and cooperation
among amateur wireless radio operators of more than twenty-five years
standing.
Article II Membership
Section 1 -Eliqibility: Any member in good standing of the Quarter
Century wireless Association Inc. may, upon payment of Chapter dues,
be admitted to membership in the Dallas Chapter. Continued
membership in
good standing in QCWA, Inc. is required to remain a member of the Dallas
Chapter.
Article III Dues
Section 1 -Annual Dues: Annual dues shall be ten dollars ($10.00) for
membership. Lifetime dues are not established.
Section 2 -Dues payment: Annual dues shall be payable by July 1 of each
year.
Section 3 -Action for non-payment of dues: Members who have not paid
their dues by July 1 shall be placed on the Inactive List of the Chapter
membership after a 3 month grace period, which expires on October 1,
and subsequently will no longer receive the Chapter bulletin routinely.
Article IV Officers and Directors
Section 1 -Officers and Directors: Dallas Chapter Officers shall be
designated as: President, Vice-President, Secretary Treasurer, and four

Directors. All Officers and Directors will form the Board of Directors.
Section 2 -Recall of Officers or Directors: In the event that an
Officer or
Director is determined to be unwilling or unable to perform his duties
he
may be, upon a decision by a majority of the remaining Officers and
Directors, be removed from office. In such case, the President will act
in
accordance with Article 2, Section 1 (G), of the By-Laws.
Section 3 -Term of Office: All officers and directors with the exception
of President and Vice President shall be selected for a two year term or
until their successors are duly selected. The selection of President and
Vice President shall be for a one year term. The selection of two
Directors
shall be held in each even numbered year. The selection of
Secretary/Treasurer
and two Directors shall be held in each odd numbered year. Newly
selected
officers and Directors will take office at the July chapter meeting.
Article V
Section 1 -Nominations: Approximately 90 days prior to the July
meeting each year the President shall appoint a nominating committee
to provide names of Chapter members as candidates for the officer(s)
and two Directors to be selected. These names will be given to the
President who will provide them to the Secretary. The Secretary will
send a notice by customary means to all active members approximately
60 days prior to the July Meeting. All candidates must have
expressed their
willingness to serve in the capacity for which they are nominated.
The selected members will be confirmed by a majority vote of the
members present at the June meeting.
Article VI
Amendments
Section 1 -Amendments: Amendments to this Constitution may be
proposed by the President, acting on behalf of a majority of the
Officers
and Directors, at any meeting of the Chapter which has been announced
to all active members at least ten (10) days previously. In addition any
active member may propose, for seconding, from the floor of any
scheduled
meeting, an amendment to this Constitution. The President will note the
proposed amendment and its second and will instruct the Secretary to
circularize the proposed amendment among all Officers and Directors for
their consideration. The President will, at the next notified meeting
of the
Chapter, advise all active members of the Boards action, and present the
Amendment, if approved, to those active members present. The
Constitution
will be amended by any proposal receiving a 2/3 in-favor vote of those
eligible votes in attendance at the meeting. Voting on Amendments shall
be, by option of the President, by secret ballot, or by roll-call, in
open meeting.
DALLAS CHAPTER QCWA BY-LAWS
Article 1
Section 1 -Purpose and Definition:
a. In the normal course of conducting the affairs of the Dallas Chapter
of QCWA, certain changes in methods and means may be required,
which may be of immediate importance, but do not require
Constitutional amendment. It is proposed that these by-laws be
authorized to specifically clarify and define any section of the
Constitution.
Article II
Officers Duties
Section 1 -President Duties:
a. Preside at all regular and special meetings of the Chapter, conduct
same according to Roberts Rules of Order.
b. Decide all questions of order.
c. Act as Chairman of the Board of Directors.
d. The President shall not vote on ordinary Board actions except in case
of a tie vote, at which time his vote shall be cast and counted.
e. Shall appoint all Committees as required.
f. Will order an audit of the treasury and will make an annual report of
such audit.
g. Will, by direct appointment, fill any vacant office among the
Officers
and Board of Directors. Such appointment to run for the unexpired
term
of the office filled.
Section 2 -Vice-President Duties:
a. Assume all duties or the President in the absence or disability of
the
President.
b. Assist the President in any and all areas as designated by the
President.
c. Be ex officio member of all committees.
Section 3 -Secretary -Treasurer Duties:
a. Shall keep minutes of all meetings .
b. Handle all correspondence except as the President deems it his duty
to handle. .
c. Keep accurate records of all receipts and disbursements from the
treasury,
and to deposit all money promptly.
d. Sign all checks on the treasury.
e. Maintain an up-to-date list of all members of the Chapter, and their
status as active or inactive members.
f. Be responsible for the collections of dues and assessments, and to
issue
membership cards.
g. Notify all members, by customary means, of all meetings at least
7 days before such meetings are scheduled.
Section 4 -Board of Directors Duties:
a. The Directors shall act in behalf of the membership of the Chapter,
overseeing the actions and programs undertaken by the Officers.
b. Shall meet at least once annually at the call of the President.
ARTICLE III Meetings and Membership.
Section 1. Meetinqs:
a. Dallas Chapter shall meet at least 4 times each year, at points to be
announced, at which times members may carry on business of the chapter.
Section 2. Membership lists:
a. The Secretary will provide a list of Dallas Chapter members.
The list will be divided into Active and Inactive members. The list will
be sent by customary means to all members by October l0th of each year.
All persons on the list are considered members regardless of their
activity
status.
b. A member may be removed from the membership list by his own
written request.
c. A member will be moved from Inactive to Active status upon paying
current yearly dues anytime after being placed on Inactive status.
d. Charter members and other Members may be awarded life membership
in the chapter by a vote of the membership at a chapter meeting.
